These Regulations establish the rules of the Referral Program (“Refer and Earn”) of Dono da Oficina, an automotive management platform operated under the trade name
Dono da Oficina by 67.602.865 KRYSTIANO INACIO FERREIRA, CNPJ
67.602.865/0001-07, with a business address in Vila Velha, Espírito Santo.
BY ACCEPTING THESE RULES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND FULLY ACCEPTED ALL THEIR PROVISIONS, INCLUDING THE REFERRER’S EXCLUSIVE TAX RESPONSIBILITY (CLAUSE 8) AND THE REDEMPTION TERMS (CLAUSES 6 AND 7).
Acceptance of these Regulations is subject to prior acceptance of the Terms of Use. Acceptance is recorded in the system with the server’s date and time and generates a PDF receipt available for download from the Refer and Earn screen. Without both acceptances recorded, the system will not create a referral link, redeem credit as a discount, or process a withdrawal. The refusal happens on the server, not just on the screen.
1. Program Definition and Legal Nature
The Referral Program is an initiative of Dono da Oficina which allows active users of the platform (Referrer) refer new customers (owners of auto repair shops, auto centers, and automotive service centers, referred to as Referred person) and receive a recurring commission of the paid subscription fee for each referred customer who subscribes to a paid plan.
This program constitutes atypical paid-intermediation agreement, voluntary, non-exclusive, and non-habitual, governed by the principles of autonomy of will (Article 421 of the Brazilian Civil Code), objective good faith (Article 422), and freedom of contract (Article 425).
Participation in the program, by itself, does not create a partnership, franchise, commercial agency, or employment relationship. The referrer acts independently, without subordination, exclusivity, targets, quotas, or any obligation to refer. The legal classification of the relationship depends on the facts and applicable law, including tax and consumer protection rules when their requirements are met.
2. Eligibility
The Refer and Earn module is unlocked by the subscribed plan. Participating workshops are those whose current plan includes the module (currently the Ultra plan), with an active registration and up-to-date subscription. The list of plans that unlock the module may be changed by the platform; the current list is always shown in the plan table.
The following is required acceptance of the Terms of Use and then the acceptance of these Regulations.
To WITHDRAW the credit in cash, an active and compliant CNPJ is required., because withdrawal depends on the referrer issuing an NFS-e (clause 8). A workshop without a CNPJ (informally registered) participates normally and redeems credit as a discount on the monthly subscription itself (clause 7), which does not require a tax invoice.
There is no maximum number of referrals per participant.
Referring your own account or accounts under the same owner or CNPJ is prohibited, as is creating fictitious accounts solely to generate commissions. Violating this rule will result in immediate removal from the program and cancellation of all pending and future commissions, as well as the obligation to repay improperly received amounts, adjusted by IPCA, without prejudice to applicable legal action.
Participation in the program is voluntary, occasional, and non-exclusive. The referrer is under no obligation to make referrals and is not subject to targets, quotas, or minimum results; they may leave the program at any time without penalty.
3. How a Referral Is Recorded
The referrer receives, in Referral Dashboard within the system, a unique link and, when granted by management, a coupon.
The referral is recorded when the new shop creates an account through this link or provides this coupon when signing up. The link is recorded in the referred person’s account.
Without the link or coupon at the time of signup, there is no referral connection. A verbal referral, conversation screenshot, or later request does not generate commission because it cannot be verified.
The referrer can track in real time in the Referral Dashboard: the referral list, each person’s subscription status, a transaction-by-transaction credit statement, and the status of each redemption.
4. Commission: Percentage and Calculation Base
The commission is 5% (five percent), unless the platform sets a different percentage for the overall program or a specific referrer, always displayed in the Referral Dashboard.
The tax base is the amount actually paid by the referred customer on each subscription payment, as recorded on the confirmed payment, without tax deductions and without
deduction of payment processing fees. If the referred customer uses a discount coupon, the base is the amount they actually paid.
The commission is generated each time the referred customer makes a confirmed payment, while the referred customer maintains an active paid subscription, on any paid plan (Essential, Professional, or Ultra).
If the referred customer cancels or stops maintaining a paid subscription, commission generation for that referral is interrupted. If the customer resumes payment, commission generation resumes as long as the referral remains linked to their account.
The percentage applies to monthly and annual subscriptions. Promotional campaigns with a different percentage for a set period are always announced to participants in advance.
5. Credit Lifecycle
Each commission becomes a entry in the credit statement of the shop, with amount, source, date, and status. Here are the situations and the practical consequence of each:
Pending (holding period): the credit starts here and stays 60 (sixty) calendar days during the holding period, which covers the payment reversal window for the original transaction. During the holding period, the credit no cannot be withdrawn or redeemed and no is added to the available balance.
Available: once the holding period ends, the credit becomes available for withdrawal and discounts.
Reserved: the credit was promised against a specific invoice (clause 7). It leaves the available balance and cannot be withdrawn while in this status.
Used: the discount was confirmed on the bill. End of the line.
Expired: the credit was completed 12 (twelve) months from the date it became available without being used. Reserved credit does not expire until the corresponding invoice is settled.
Canceled: the payment that generated the commission was reversed.
The 60 (sixty)-day waiting period and 12 (twelve)-month validity period are shown in the Referral Dashboard. Any change to these deadlines requires an update to these rules and advance notice, and will not apply retroactively to credit already earned.
The withdrawal is requested through the Referral Dashboard, to the Pix key owned by the referrer registered by them.
The amount is deducted from the available balance at the time of the request, in the same operation that creates the order. A withdrawal request cannot exist without a corresponding balance deduction.
The request enters the review and payment queue. Once approved, the amount is transferred within 2 (two) business days counted from invoice approval (clause 8), and the receipt is attached to the withdrawal history.
Up to 3 (three) withdrawal requests per day per workshop, with an operational limit to prevent duplicate requests.
The platform may temporarily suspend Pix withdrawals, with notice displayed on the screen. While suspended, the balance remains entirely the referrer’s and can still be redeemed as a subscription discount.
If the withdrawal is rejected, the amount returns to the available balance and the reason is provided.
7. Redeem as a Discount on Your Own Subscription
The referrer may use the credit to apply it to your own subscription invoice, instead of withdrawing it. This is the most direct path and the only option available to those who do not issue invoices.
7.1 Conditions
The subscription must be under active recurring billing through the payment method. One-off payments (Pix or a boleto outside the recurring billing) no accept the discount because the credit is applied to a invoice of the subscription; a one-time charge does not create a subscription invoice. In these cases, withdrawal is the way to go.
The plan needs to be paid; there is no monthly fee to deduct during the trial.
One redemption per invoice. Two discounts cannot be combined on the same charge.
Minimum redemption: BRL 50.00 (fifty reais).
Invoice cap: 50% (fifty percent) of the subscription fee. The limit is a platform parameter shown on the screen, and never reaches 100%: the invoice must continue to exist and be billed, because payment confirmation renews the plan term. A zero-balance invoice is not charged and therefore does not renew access.
The reference value is current subscription price with the payment provider, rather than the list price. This is the amount the card provider will pay, including any negotiated amount.
7.2 When the Discount Is Applied
When redemption is requested, the credit is reserved on the spot and the discount is recorded
immediately on the next subscription invoice. There is no waiting period: the subscription price stays the same; only the invoice changes, so no notice period applies.
The discount applies for that invoice only. The subscription price never changes, so there is nothing to reset in the next billing cycle. The next invoice is simply issued at the full price.
7.3 Remaining Credit
If the referrer’s credit is greater than the invoice cap, only the necessary portion is reserved; the rest continues available in the statement, intact, and can be used on the next invoice or withdrawn. No credit is lost just because it exceeds the cap.
7.4 If the Discount Is Not Applied
Confirmation that the discount applied is the discount shown on the invoice:
the invoice deducted the promised amount → the reserved credit now becomes used;
the invoice deducted less than promised (because the invoice amount itself decreased due to a plan change or billing-period adjustment) → the amount actually deducted becomes used and
the remainder becomes available again, in the same operation;
The discount didn’t reach the invoice → the credit returns in full to the available balance and the attempt is recorded as a failure. the referrer loses nothing.
The metric can cancel redeem the credit while the discount has not yet appeared on a closed invoice. After that, the payment provider refuses to remove it. That refusal proves the discount was already applied, so it counts as used. The full credit returns to the balance after a successful cancellation, and a new redemption can be requested for the same invoice.
If the discount remains pending because there is no invoice to apply it to—for example, when a subscription ends before the next billing date—the platform removes the entry and returns the credit to the balance. No credit remains tied up, and the workshop is not blocked because of it.
7.5 Why a Subscription Discount Does NOT Require a Tax Invoice
The discount on the subscription itself is not a payment from Dono da Oficina to the referrer. No funds leave the platform and no revenue enters the referrer’s account; instead, there is a price reduction of the service the platform provides to and bills directly to the referrer.
Because the referrer is not paid for providing a service to the platform, no taxable event requiring the referrer to issue an NFS-e occurs and there is no tax withholding. This is commercial discount granted by the platform on your own invoice, recorded as such in the tax invoice issued by the platform.
This is the opposite of a withdrawal: a withdrawal transfers money of the platform
for the referrer, compensating them for the referral. In this case, a service was provided, revenue was earned, and a tax invoice must be issued. The obligation in clause 8 therefore applies, for withdrawal only.
This clause describes how the program works and does not constitute tax advice. The referrer should ask their accountant how to record the discount.
8. Withdrawal: The Referrer’s Sole Tax Responsibility
THE REFERRER IS SOLELY AND EXCLUSIVELY RESPONSIBLE for all tax, fiscal, reporting, and social security obligations arising from the amounts received in cash under this program. Dono da Oficina acts exclusively as the mere pass-through agent for the amounts, and has no obligation to withhold, collect, or report taxes on the commissions paid.
8.1 Mandatory Withdrawal Process
Issue the Electronic Service Invoice (NFS-e) for the exact amount you wish to withdraw. The withdrawal request screen displays Dono da Oficina details (CNPJ and legal name) so it can issue an invoice listing the platform as the service recipient. The tax invoice must include:
Issuer’s CNPJ (referrer)
Issuer’s registered business name
Service Recipient CNPJ (Dono da Oficina, as displayed on screen)
Exact commission amount available for withdrawal
Service Description: “Business Intermediation Commission: Refer and Earn Program”
Applicable municipal service code (ISS)
Attach the Tax Invoice File (XML or DANFE in PDF format) to the withdrawal request in the Referral Dashboard.
Confirm the Pix key to receive the payment.
Conditions for processing a withdrawal:
Withdrawal will only be processed after validation of the tax invoice by the platform. The transfer period of up to 2 (two) business days starts after invoice approval, not the initial request.
Tax invoices issued with data that differs from the CNPJ registered on the platform, amounts that differ from the requested amount, or tax irregularities will be rejected, and the withdrawal will be returned for correction.
Dono da Oficina may refuse tax invoices showing signs of irregularity, fraud, or incompatibility with current tax law.
8.2 Referrer Tax Obligations (Legal Entity, CNPJ)
Pay all taxes due under your tax regime (Simples Nacional, Lucro Presumido, or Lucro Real), including, where applicable: IRPJ, CSLL, PIS, COFINS, and ISS.
Dono da Oficina does not withhold federal or municipal taxes about payments to a legal entity.
Dono da Oficina does not provide accounting or tax advice. The referrer should consult a trusted accountant for guidance on their specific tax obligations.
The referrer indemnify and hold Dono da Oficina harmless from any tax assessments, fines, penalties, charges, or administrative or judicial claims arising from failure to meet tax obligations related to commissions received.
Dono da Oficina reserves the right to withhold future commission amounts to offset losses proven to have been caused by the referrer through fraud or violation of these Regulations.
8.3 Banking Information and Registration Responsibility
The referrer must keep their banking details and Pix key up to date in the Referral Dashboard.
The referrer is the solely responsible for the truthfulness, accuracy, and currency of the registration details provided (CNPJ, Pix key, bank details).
Transfers made to incorrect or outdated Pix keys or bank accounts, or to accounts owned by someone other than the registered referrer will not be reversed, refunded, or supplemented by Dono da Oficina, except where the error is proven to be solely attributable to the platform.
Dono da Oficina is not responsible for delays or failed transfers caused by incorrect bank details provided by the referrer.
9. Compliance, Anti-Money Laundering, and Data Protection
9.1 Anti-Money Laundering and Counter-Terrorist Financing (PLD/CFT)
Dono da Oficina takes fraud prevention measures and complies with the obligations applicable to it under the Law No. 9.613 of March 3, 1998 and other applicable regulations.

notify the competent authorities, when there is a legal obligation or legal basis, any transaction whose value, frequency, characteristics, or circumstances may indicate fraud, money laundering, terrorist financing, or other unlawful activity.

The referrer may exercise their rights under Article 18 of the LGPD (access, correction, deletion, portability, among others) by sending a request to the email address
[email protected].
Before sharing a third party’s name, email, or phone number, the referrer must have a valid legal basis and inform the referred person about the sharing. The platform is also responsible for processing it performs on its own behalf and gives the referred customer the information and rights set out in the Privacy Policy. No clause transfers responsibilities that belong to the platform to the referrer.
10. Grounds for Suspension, Cancellation, and Removal
Dono da Oficina may suspend or remove a program participant and cancel all pending and future commissions in the following cases:
Violation of the Terms of Use from the platform or these rules.
Creating fictitious, fraudulent, or duplicate accounts to generate improper commissions (self-referral or cross-referral between accounts belonging to the same person).
Using automated methods, bots, or any other means to artificially inflate the number of referrals.
Promoting a referral link in deceptive or fraudulent contexts or in ways that violate third-party rights (such as spam, phishing, or unauthorized use of trademarks).
Cancellation of the referrer’s account on the platform for any reason.

Dono da Oficina reserves the right to audit at any time and without prior notice, the legitimacy of referrals, and may request documents proving the relationship between the referrer and referred customer, along with proof the referral was legitimate.
Proven fraudulent or fictitious referrals, or those that violate these rules, will result in immediate removal from the program, cancellation of all pending and future commissions, and the obligation to fully repay amounts improperly received, adjusted by the IPCA, within 15 (fifteen) days, without limiting claims for damages or available legal action.
11. Program Term and Changes
The Referral Program has indefinite term, and may be suspended or terminated at any time, provided participants receive 30 (thirty) days’ prior notice by email and/or system notification.
Dono da Oficina reserves the right to change these rules at any time. Changes will be announced at least 15 (fifteen) days in advance, and a material change requires new acceptance before new redemptions. If the referrer disagrees with changes, they may leave the program at any time and keep all commissions accumulated up to the date they notify us.
If the program ends, commissions already accrued and not redeemed remain available until the end of the 12-month validity period applicable to each credit. If fewer than 90 (ninety) days remain, a minimum period of 90 (ninety) days from the closing date is guaranteed.
Commissions already earned on active referrals will not be canceled retroactively
in case of a change to the rules, except for violations described in clause 10.

Dono da Oficina acts exclusively as the pass-through agent for commission payments. The referrer is solely and exclusively responsible for meeting all tax, social security, and reporting obligations arising from amounts received in cash, and agrees to hold Dono da Oficina harmless from any claims, assessments, or charges related to them.
